- The
name of this corporation shall be: Association of California
Water Agencies
- The corporation
is formed as an instrumentality of political subdivisions of
the State of California, and is formed for the
following purposes:
(A) The specific and primary purposes are for the member political
subdivisions of the State of California to work together for the
best interests of California and its citizens and landowners who
use, need, and depend upon water; to encourage the orderly development
of the waters of the State; to seek means of obtaining and making
available to all California a dependable water supply at the lowest
possible cost; to provide inspiration and leadership in meeting
and solving the water supply problems of the State; to propose
and advocate legitimately such policies and measures, local, state
and federal, which serve the best interests of the Association,
opposing those of contrary nature; and to do all things which will
be for the best interest of its members.
(B) The general purposes and powers are: In the accomplishment
of the specific and primary purposes, the corporation shall be
authorized to print, publish, distribute, buy and sell books, magazines,
papers, periodicals and supplies of all kinds and types; to organize,
sponsor, operate, and conduct meetings, programs, and conferences
of every kind and character; and to engage in such other activities
as may be necessary or desirable in the accomplishment of the specific
and primary purposes or the general purposes provided aforesaid;
provided, said purposes and powers shall be conducted in such manner
that no part of its net earnings shall inure to the benefit of
or be distributed to any member, director, officer or private person,
except that the corporation shall be authorized and empowered to
pay reasonable compensation for services rendered to it, and to
make payments and distributions in furtherance of the purposes
set forth aforesaid.
- This
corporation is organized pursuant to the General Nonprofit
Corporation Law of the State of California.
- The County
in this State where the principal office for the transaction
of the business of this corporation is located is Sacramento
County, California.
- That
the persons who are to act in the capacity of directors of
this corporation shall number not less than twenty-five
(25) and the names and addresses of
the persons who are appointed to act in the capacity of directors until
the selection of their successors are: (Names and addresses
of original directors
are on file at the ACWA office.)
- The authorized
member and qualifications of members of the corporation, the
different classes of membership, if any, the property,
voting and other rights and privileges of members and their
liability to dues and assessments and the method of collection
thereof shall
be as set forth in the Bylaws.
- This
Corporation is one which does not contemplate pecuniary gain
or profit to the members thereof, and it is organized solely
for nonprofit purposes. Upon the winding up and dissolution
of
this Corporation, after paying or adequately providing for
the debts and obligations of the Corporation, the remaining
assets
shall be distributed to the member political subdivisions.
If this Corporation holds any assets on trust, such assets
shall be disposed
of in such manner as may be directed by decree of the Superior
Court of the County in which this Corporation's principal
office is located, upon petition therefor by the Attorney General
or by
any person concerned in the liquidation.
- The name
of the unincorporated association which is being incorporated
is IRRIGATION DISTRICTS ASSOCIATION OF CALIFORNIA.
IN WITNESS WHEREOF, the undersigned, being the President and
the Executive Secretary respectively of the IRRIGATION DISTRICTS
ASSOCIATION OF CALIFORNIA, the unincorporated association which
is being incorporated hereby, have executed these Articles of Incorporation
this twenty-third day of November, 1970.
